Terms of Use
These Terms of Use (these "Terms") set out the conditions for using the {RECEIPT}ROLLER service (the "Service") provided by ReceiptRoller, Inc. (the "Company", "we", or "us"). Registered users ("Users") shall use the Service in accordance with these Terms.
Article 1 (Application)
- These Terms apply to all relationships between Users and the Company relating to the use of the Service.
- In addition to these Terms, we may establish various rules and provisions for the Service (the "Individual Provisions"). Regardless of their name, these Individual Provisions constitute part of these Terms.
- Where the provisions of these Terms conflict with the Individual Provisions, the Individual Provisions shall prevail unless they specifically provide otherwise.
Article 2 (Registration)
- Registration is completed when a prospective user agrees to these Terms, applies for registration by the method prescribed by us, and we approve that application.
- We may decline an application for registration if we determine that the applicant falls under any of the following, and we have no obligation to disclose the reason.
- The applicant provided false information in the registration application
- The application is from a person who has previously violated these Terms
- We otherwise determine that the registration is not appropriate
Article 3 (Account Management)
- Users shall appropriately manage their account information (email address and password) for the Service at their own responsibility.
- Under no circumstances may Users transfer, lend, or share their account information with a third party.
- Where a login occurs with a combination of email address and password that matches the registered information, we treat it as use by the User who registered that account.
- Except in cases of our willful misconduct or gross negligence, we bear no responsibility for damages arising from the use of account information by a third party.
Article 4 (Fees and Payment)
- As consideration for the paid portions of the Service, Users shall pay the fees separately determined by us and displayed on this website, by the method we designate.
- If a User is late in paying fees, the User shall pay late-payment damages at the rate of 14.6% per annum.
Article 5 (Prohibited Acts)
In using the Service, Users must not engage in any of the following acts.
- Acts that violate laws and regulations or public order and morals
- Acts related to criminal activity
- Acts that destroy or interfere with the functions of the servers or networks of the Company, other Users of the Service, or third parties
- Acts that may interfere with the operation of our services
- Acts of collecting or accumulating personal information about other Users
- Unauthorized access, or attempts thereof
- Impersonating another User
- Directly or indirectly providing benefits to anti-social forces in connection with our services
- Acts that infringe the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company, other Users, or third parties
- Providing data obtained through the Service to third parties for commercial purposes without our permission
- Misusing the Service's API or placing excessive load on it
- Other acts that we determine to be inappropriate
Article 6 (Suspension of the Service)
- We may suspend or interrupt all or part of the Service without prior notice to Users if we determine that any of the following applies.
- When performing maintenance or updates to the computer systems for the Service
- When provision of the Service becomes difficult due to force majeure such as earthquake, lightning, fire, power outage, or natural disaster
- When computers or communication lines stop due to an accident
- When we otherwise determine that provision of the Service is difficult
- We bear no responsibility for any disadvantage or damage incurred by Users or third parties as a result of suspending or interrupting the Service.
Article 7 (Intellectual Property Rights)
- All intellectual property rights relating to the Service belong to the Company or those who license them to the Company. The license to use the Service under these Terms does not mean a license to use the intellectual property rights of the Company or its licensors.
- Copyright in content that Users post or register on the Service (receipt data, images, etc.) continues to belong to the User. However, we may use such content for the purpose of operating and improving the Service.
Article 8 (Restriction of Use and Cancellation of Registration)
- We may, without prior notice, restrict a User's use of all or part of the Service, or cancel their registration, if the User falls under any of the following.
- Violation of any provision of these Terms
- It becomes clear that the registration details contain false facts
- Default on the obligation to pay fees or other amounts
- No response to our contact for a certain period
- No use of the Service for a certain period since the last use
- We otherwise determine that use of the Service is inappropriate
- We bear no responsibility for any damage incurred by a User as a result of actions we take under this Article.
Article 9 (Withdrawal)
Users may withdraw from the Service through the withdrawal procedure prescribed by us. The handling of data after withdrawal is governed by our Privacy Policy.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
- We do not warrant, expressly or impliedly, that the Service is free from de facto or legal defects (including defects, errors, bugs, or infringements relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security).
- Except in cases of our willful misconduct or gross negligence, we bear no responsibility for any damage arising from the Service that is incurred by a User.
- We bear no responsibility for any transaction, communication, or dispute that arises between a User and other Users or third parties in connection with the Service.
Article 11 (Changes to the Service)
We may change, add to, or discontinue the content of the Service upon prior notice to Users, and Users shall consent to this.
Article 12 (Changes to these Terms)
- We may change these Terms without the individual consent of Users in the following cases.
- When the change to these Terms conforms to the general interests of Users
- When the change to these Terms does not contravene the purpose of the service-use contract and is reasonable in light of the necessity of the change, the appropriateness of the revised content, and other circumstances related to the change
- When changing these Terms, we will notify Users in advance of the fact of the change, the content of the revised Terms, and the time at which they take effect.
Article 13 (Handling of Personal Information)
We handle personal information obtained through the use of the Service appropriately in accordance with our "Privacy Policy".
Article 14 (Notices and Communications)
Notices or communications between Users and the Company shall be made by the method prescribed by us. Unless a User notifies us of a change in accordance with the method we separately prescribe, we treat the currently registered contact information as valid, send notices or communications to it, and deem them to have reached the User at the time of dispatch.
Article 15 (Prohibition of Assignment of Rights and Obligations)
Without our prior written consent, Users may not assign to a third party, or provide as security, their status under the service-use contract or their rights or obligations under these Terms.
Article 16 (Governing Law and Jurisdiction)
- These Terms shall be interpreted in accordance with the laws of Japan as the governing law.
- In the event of a dispute concerning the Service, the court having jurisdiction over the location of our head office shall have exclusive agreed jurisdiction.
